Serix AI – Terms of Service

Welcome To Serix AI

By accessing our website, booking a call, or using any Serix A.I. services, you agree to the following Terms of Service. If you do not agree, you must not use our services.

1. Services Provided

Serix A.I. provides AI-powered automation systems designed to support businesses—primarily med spas—with lead response, appointment booking, client follow-up, internal workflows, and related operational tools.

Services may include, but are not limited to:

  • AI phone, SMS, and email automation

  • Appointment booking and follow-up systems

  • Lead reactivation workflows

  • CRM and scheduling integrations

  • Optional marketing or advertising support

| Specific deliverables, timelines, and inclusions are defined only in a client's signed agreement, proposal, or order form.

2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete onboarding information

  • Maintain active access to required systems (CRM, calendar, phone, ad accounts, etc.)

  • Communicate promptly when approvals or inputs are required

  • Use Serix A.I. services only for lawful business purposes

Failure to meet these responsibilities may limit results and may result in paused or terminated services.

Results depend on timely client cooperation, approvals, and accurate information. Delays or failures caused by client inaction do not constitute service failure.

2A. Termination & Suspension

Serix A.I. reserves the right to suspend or terminate services at any time, with or without notice, if a client:

  • Fails to comply with these Terms of Service

  • Engages in unlawful, abusive, or deceptive practices

  • Misuses AI, messaging, calling, or automation systems

  • Violates third-party platform policies

  • Fails to cooperate with onboarding, approvals, or operational requirements

Termination or suspension does not relieve the client of any outstanding payment obligations.

3. SMS & Email Communications

By submitting your information, you consent to receive SMS and/or email communications from Serix A.I. related to:

  • Appointment confirmations and reminders

  • Service updates and system notifications

  • Support and operational messages

Message and data rates may apply.

You may opt out at any time by replying "STOP"

4. Payments & Billing

  • All fees are due upfront unless otherwise stated in writing.

  • Payments are non-refundable except where explicitly stated in a signed agreement.

  • Serix A.I. reserves the right to suspend or terminate services for failed or overdue payments.

  • Third-party costs (including ad spend, software subscriptions, phone usage, or platform fees) are not included unless explicitly stated.

Fees paid cover access to systems, setup, configuration, and reserved capacity, and are non-refundable once work has commenced.

4A. Website & Scope of Services

Website builds, CRM configurations, automations, integrations, and related services are limited to the scope explicitly defined in the client’s signed agreement, proposal, or order form.

Revisions, changes, additional features, integrations, or requests outside the agreed scope may require additional fees and extended timelines

Any changes to scope must be agreed to in writing. Verbal requests or informal communications do not modify the agreed scope..

5. Performance & Guarantees

Serix A.I. does not guarantee specific financial outcomes, revenue increases, or business performance through this Terms of Service.

Advertising and marketing-related services do not guarantee leads, appointments, conversions, or return on investment. Performance may vary due to factors outside Serix A.I.’s control, including ad platform policies, market conditions, audience behavior, budget, and the client’s offer or operations.

Certain services may include a conditional performance or service guarantee.

Any such guarantee:

  • Is offer-specific

  • Is conditional

  • Is governed exclusively by the client's signed agreement, proposal, or addendum

No guarantees are implied or granted outside of those written agreements.

5A. AI System Limitations

Serix A.I. services utilize artificial intelligence and automation technologies that may produce errors, incomplete responses, or unintended outcomes. AI systems are not human and do not replace professional judgment or oversight.

Clients acknowledge that AI-generated outputs are probabilistic in nature and are provided as operational support tools only. Serix A.I. is not responsible for decisions made by clients based on AI-generated communications or actions.

Serix A.I. does not provide legal, medical, or regulatory advice. Clients are responsible for consulting appropriate professionals regarding compliance, patient communications, and medical regulations.

6. Limitation of Liability

To the fullest extent permitted by law, Serix A.I. shall not be liable for:

  • Lost revenue, lost profits, or missed business opportunities

  • Indirect, incidental, or consequential damages

  • Platform outages, third-party software failures, or ad account restrictions

All services are provided on an "as-is" and "as-available" basis.

6A. Intellectual Property & Ownership

Serix A.I. retains ownership of all proprietary systems, workflows, templates, automations, prompts, methodologies, and processes used to deliver services.

Clients retain ownership of their business data, content, and branding assets. No resale, redistribution, duplication, or reuse of Serix A.I.’s proprietary systems or materials is permitted unless explicitly agreed to in writing.

6B. Third-Party Platforms & Compliance

Serix A.I. utilizes third-party platforms, tools, and service providers, including, but not limited to, advertising platforms, communication providers, CRM systems, and hosting or automation services.

Serix A.I. does not control and is not responsible for the policies, decisions, outages, suspensions, restrictions, or changes imposed by any third-party platform.

Clients are solely responsible for ensuring their use of services complies with all applicable laws, regulations, and third-party platform policies, including but not limited to advertising rules, messaging regulations, and industry-specific compliance requirements.

Account suspensions, disapprovals, delivery issues, or service interruptions caused by third-party platforms do not constitute a breach of service or grounds for refunds.

7. Privacy & Data Protection

All data collected and processed is governed by our Privacy Policy

Serix A.I. does not sell personal data and only shares information when required to deliver services or comply with legal obligations.

8. Modifications

Serix A.I. reserves the right to update these Terms of Service at any time.

Continued use of the website or services constitutes acceptance of any changes.

8A. Independent Contractor Relationship

Serix A.I. operates as an independent contractor and is not an employee, partner, joint venture, or legal representative of the client.

Nothing in these Terms of Service shall be interpreted as creating an employment relationship, partnership, agency, or fiduciary relationship between Serix A.I. and the client.

8B. Force Majeure

Serix A.I. shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, internet outages, platform failures, governmental actions, labor disputes, or third-party service interruptions.

9. Governing Law

These Terms are governed by the laws of the United States and the applicable state in which Serix A.I. operates, without regard to conflict-of-law principles.
